Siemens Limited's Board has approved a Scheme of Amalgamation to merge Siemens Rail Automation Private Limited (SRAPL), a wholly owned subsidiary, into the parent company. SRAPL is engaged in rail automation business including signalling systems, train control, and related services, with a turnover of Rs 3,820 crore and net worth of Rs 1,017 crore. Siemens Limited has a turnover of Rs 220,254 crore and net worth of Rs 134,914 crore. No consideration will be paid as it's a 100% subsidiary, and there will be no change in shareholding pattern. The transaction requires NCLT and other regulatory approvals.
This internal restructuring should bring operational efficiencies and cost savings by consolidating rail automation operations directly under Siemens Limited, potentially improving margins and simplifying compliance. As no new shares are issued, existing shareholders' stakes remain unchanged.
