The board of Signature Green Corporation Limited (SGCL) has given in-principle approval for a Scheme of Amalgamation with Arvind Foods Limited (AFL), its wholly owned subsidiary. Since AFL is fully owned by SGCL, no new equity shares will be issued and no consideration will change hands — AFL's share capital will simply stand cancelled upon the scheme becoming effective, leaving SGCL's shareholding pattern unchanged. Both companies had NIL turnover as of 31 March 2025, with net worths of ₹1,279.96 lakhs (SGCL) and ₹93.72 lakhs (AFL). The rationale is to consolidate similar food, edible oil, and animal feed businesses under one entity to cut compliance costs, unlock synergies, and improve cash management. The board also formed a Corporate Restructuring Committee, appointed a SEBI-registered Merchant Banker for a fairness opinion, and authorised representatives to approach the NCLT and other regulators.
