Simplex Castings Ltd has called an Extra-Ordinary General Meeting on Monday, 2nd March 2026 at 2:00 PM via video conferencing to seek shareholder approval for a preferential issue of up to 10,15,182 equity shares of Rs. 10 each at an issue price of Rs. 494 per share (including a premium of Rs. 484), aggregating to approximately Rs. 50.15 crore. All 53 proposed allottees are non-promoters, with the largest recipients being India Emerging Giants Fund Limited and Surya Jagdishchand Gorji, each allotted 4,04,865 shares worth about Rs. 20 crore. The company plans to use 50% of the proceeds for capital expenditure to expand its shed and add fabrication facilities for railway bogies, and the remaining 50% for working capital to support cast railway bogies and long-term power sector fabrication work, with full utilisation targeted within 24 months. The cut-off date for e-voting eligibility is 23rd February 2026, and the remote e-voting window runs from 27th February to 1st March 2026. There will be no change in control of the company, and existing promoters, directors, and key managerial personnel are not subscribing to the offer.
If approved, this preferential allotment will dilute existing shareholders and bring in about Rs. 50.15 crore of new capital earmarked for capacity expansion and working capital, which could support growth in the railway bogie and power sector fabrication businesses. The stock may see short-term price pressure around the record date (23rd February 2026) and could react to the EGM outcome on 2nd March 2026.
