Sindhu Trade Links Limited's Board approved two major acquisitions totaling INR 922.51 crore via share swap mechanism. Transaction A involves acquiring 78.26% stake in Advent Coal Resources Pte. Ltd., Singapore (holder of MEC Coal Project in Indonesia) for INR 697.06 crore through issuance of 30.05 crore equity shares at INR 23.20 per share. Transaction B involves acquiring 50.10% stake in Sainik Mining and Allied Services Limited for INR 225.45 crore through issuance of 9.72 crore CCPS at INR 23.20 per share. Both transactions involve promoter group as selling shareholders and require shareholder approval at EGM on June 18, 2026. Authorized share capital will increase from INR 156 crore to INR 196 crore. Sainik Mining has revenues of INR 1,088.53 crore (FY25) while Advent Coal has zero turnover.
Significant shareholder dilution (~22%) will occur post-transaction. Indo Pacific Partners (Promoter) will hold 11.18% post-allotment. The acquisitions expand the company's coal mining and infrastructure portfolio. However, valuation appears heavily premium with no revenue from Advent Coal and very high per-share valuation for Sainik Mining.
