AI summary

SKF India held its 64th AGM on 6th August 2025 via video conferencing, lasting about 1 hour 42 minutes. All 9 resolutions were passed with the requisite majority, including adoption of audited financial statements for FY25, declaration of a final dividend of Rs. 14.5 per equity share (face value Rs. 10), and re-appointment of Mr. Karl Robin Joakim Landholm as a director. Shareholders also approved material related party transactions with three SKF Group entities (SKF GmbH Germany, SKF Asia Pacific Singapore, and SKF Engineering and Lubrication India), the appointment of M/s J. B. Bhave & Co. as Secretarial Auditor for five years (FY26–FY30), and the remuneration of Independent Director Mr. Gopal Subramanyam. The meeting had 68 shareholders present in person/VC holding about 2.61 crore shares, and no qualifications or adverse remarks were reported in the auditors' reports.

Likely market impact

Routine, smooth AGM with shareholder approval of a Rs. 14.5 final dividend and standard governance items; no negative surprises, which is mildly positive for shareholder confidence but unlikely to move the stock meaningfully on its own.
