SKF India has concluded a postal ballot process (e-voting from 16 February to 17 March 2026) to approve the appointment of three Non-Executive, Non-Independent Directors: Mr. Antonio Molle, Mr. Bastian Thomas, and Mr. Magnus Lennart Prick. All three ordinary resolutions were passed with overwhelming shareholder support, securing over 99.8% votes in favour (40.82 million shares in favour vs. around 70,000–80,000 shares against for each resolution). Promoters voted 100% in favour (25.99 million shares), public institutions voted around 99.5% in favour, and public non-institutions around 97.7% in favour. Scrutinizer Mr. Jayavant Bhave of J. B. Bhave & Co. certified the results as valid and confirmed the resolutions have been passed with the requisite majority.
The three director appointments are now formally effective, strengthening SKF India's board with representatives likely linked to its global parent. The near-unanimous approval reflects strong shareholder confidence and is a routine governance matter with no expected material impact on stock price.
