SMC Global Securities has announced that its Board, at a meeting held on 26th July 2025, approved raising funds through a public issue of secured, rated, listed, redeemable non-convertible debentures (NCDs). The base issue size is up to Rs. 7,500 lakhs (Rs. 75 crore) with a green shoe option of an additional Rs. 7,500 lakhs, taking the total potential size to Rs. 15,000 lakhs (Rs. 150 crore). Each NCD will have a face value of Rs. 1,000, and up to 15 lakh NCDs may be issued. Further details such as coupon rate, tenure, and allotment structure will be disclosed later by the NCD Committee.
This is a debt-raising exercise, so there is no equity dilution for existing shareholders, but the company will take on additional interest obligations. The Rs. 150 crore raise (if fully subscribed) will strengthen the company's funding base, though the long-term impact on stock price depends on the coupon rate and end-use of proceeds, which are yet to be announced.
