The Board of Directors of SMC Global Securities, at its meeting on 26th July 2025, approved raising funds through a public issue of secured, rated, listed, redeemable non-convertible debentures (NCDs). Each NCD has a face value of Rs. 1,000. The base issue size is Rs. 7,500 lakhs with a green shoe option of an additional Rs. 7,500 lakhs, aggregating up to Rs. 15,000 lakhs (Rs. 150 crore) for up to 15 lakh NCDs. The company is a well-known brokerage and financial services player, and this is a debt market fundraising exercise. Further details including coupon rate, tenure and other terms will be disclosed later by the NCD Committee.
For shareholders, this is a debt issuance (NCDs) and not an equity dilution, so there is no direct impact on shareholding or EPS. The Rs. 150 crore raise will boost the company's capital base for lending and trading activities, but the cost of borrowing will depend on the coupon rate, which is not yet disclosed.
