Sobhagya Mercantile has called an EGM on April 20, 2026 (via video conferencing) to seek shareholder approval on four key items. The biggest one is the issue of up to 13,01,000 convertible warrants on a preferential basis to two non-promoter foreign funds — Nova Global Opportunities Fund PCC – Touchstone and Zeal Global Opportunities Fund — at Rs. 674.49 per warrant, raising up to Rs. 87.75 crore. Warrant holders must pay 25% upfront and the rest within 18 months, failing which the warrants lapse and the upfront amount is forfeited. The other three items seek shareholder approval for material related-party transactions with three highway-infrastructure related companies — Nag Ham 182 Highway (up to Rs. 79.86 crore), Nag Ham 183 Highway (up to Rs. 59.44 crore), and Kitadi Torgaon Highway (up to Rs. 15 crore). Voting will be through NSDL e-voting between April 16 and April 19, 2026, with a cut-off date of April 13, 2026.
If approved, the warrant issue will dilute existing shareholders when converted into equity, but brings in nearly Rs. 88 crore from foreign funds at a substantial premium over the Rs. 10 face value. The large related-party transactions (totalling over Rs. 154 crore) signal significant business dealings with group/related infrastructure entities, which minority shareholders should evaluate carefully for arm's-length pricing and business justification.
