Solarworld Energy Solutions Ltd is seeking shareholder approval via postal ballot for 12 resolutions including appointment of 4 Independent Directors (Mr. Rajiv Gupta, Ms. Ritu Hastir, Mr. Subhash Kumar Changoiwala, and Mr. Upendra Goyal) for 5-year terms from May 1, 2026 to April 30, 2031. The company also seeks approval to alter its Memorandum of Association by deleting certain object clauses and inserting new clauses for borrowing (up to any amount) and investment/loan powers. Additionally, shareholders are asked to approve material related party transactions with the corporate promoter (Pioneer Facor IT Infradevelopers Private Limited) up to Rs. 560 crore, and with 4 promoter-directors (Mr. Kartik Teltia: Rs. 514 crore, Mr. Rishabh Jain: Rs. 501 crore, Mr. Sushil Kumar Jain: Rs. 501 crore, Mr. Mangal Chand Teltia: Rs. 506 crore), plus transactions between subsidiaries and related parties up to Rs. 250 crore each. Total related party transactions seek approval of over Rs. 3,000 crore. Voting period runs from May 15 to June 13, 2026 via NSDL e-voting platform.
The appointment of 4 independent directors will strengthen board independence and governance. However, the extremely large related party transaction limits (over Rs. 3,000 crore combined) with promoters raise concerns about potential related party risk and minority shareholder protection. The MOA alteration significantly expands the company's borrowing and investment scope. Shareholders should carefully evaluate these proposals before voting.
