Sona BLW's Nomination and Remuneration Committee on June 16, 2026 granted 1,00,000 stock options to eligible employees under ESOP 2023 at an exercise price of INR 596.35 (previous NSE close). Options vest equally over 2 years — 50,000 on June 16, 2027 and 50,000 on June 16, 2028. NRC also allotted 6,500 equity shares (face value Rs. 10) to employees who exercised vested options. Paid-up equity capital rose to Rs. 622.03 cr; total shares increased from 62,20,28,337 to 62,20,34,837.
Negligible near-term dilution from 6,500-share allotment; 1 lakh pending ESOPs may add mild future dilution. Pricing at market value is neutral for shareholders.
