Sonal Adhesives announced unaudited Q1FY26 results (quarter ended 30 June 2025) along with multiple board-level decisions. Revenue from operations rose about 14% year-on-year to Rs. 2,828.75 lakh (vs Rs. 2,488.13 lakh in Q1FY25), but net profit fell around 30% to Rs. 44.75 lakh (vs Rs. 64.21 lakh), with EPS at Rs. 0.74 versus Rs. 1.06 a year ago, mainly due to higher material and finance costs. The 34th AGM will be held on 25 September 2025 via video conferencing, with the register of members closed from 19–25 September 2025. The company is changing its statutory auditor — M/s M C Asawa & Co is retiring at the AGM after completing its 5-year term, and M/s Haziyani & Associates has been recommended as the new statutory auditor for a 5-year period (FY26–FY30). Mr. Vipul Desai joins as an Additional Independent Director, while Mr. Nitin Rane retires as Independent Director effective 25 September 2025. A secretarial auditor and cost auditor were also appointed for FY26.
For shareholders, this is largely routine housekeeping — AGM, book closure, auditor rotation, and committee changes. The Q1 results show a mixed picture: healthy revenue growth but a sharp drop in profit, which investors may watch closely. No immediate stock-moving signal, but the auditor rotation and director changes are standard governance updates that should not impact operations.
