The Board of Span Divergent Limited, at its meeting on August 13, 2025, approved the unaudited financial results for Q1 FY26 (quarter ended June 30, 2025). On a standalone basis, total income fell to Rs 64.93 lakhs from Rs 73.55 lakhs in Q1 FY25, but profit after tax rose sharply to Rs 41.67 lakhs (vs Rs 23.08 lakhs), boosted by a Rs 19 lakh exceptional item; standalone EPS stood at Rs 0.76 vs Rs 0.42. On a consolidated basis, however, the picture was weak — total income dropped sharply to Rs 179.21 lakhs from Rs 388.52 lakhs, and the company slipped into a loss of Rs 17.01 lakhs (vs Rs 8.53 lakh loss), with negative EPS of Rs 0.31. The Board also flagged concerns at the subsidiary level: Aranya Agri Biotech LLP (accumulated losses of Rs 15.12 cr) has been marked for discontinuation, while Biospan Contamination Control Solutions Pvt Ltd (accumulated losses of Rs 6.54 cr) has negative net worth. The statutory auditors (Y B Desai & Associates) issued an unqualified limited review report, and the company has no loan defaults.
Standalone numbers look healthy due to exceptional gains, but the consolidated loss and steep revenue decline (over 50% YoY) signal weakness at the group level, and the planned shutdown of the Aranya Agri Biotech subsidiary adds to long-term concerns. Shareholders should view this as mixed — improved standalone profit masked by deteriorating consolidated performance and ongoing subsidiary stress.
