Speciality Restaurants Limited's subsidiary, Speciality Hotels India Private Limited (SHIPL), has allotted 61,728 equity shares of face value Rs. 100 each at Rs. 838.57 per share, raising a total of about Rs. 5.18 crore. The shares were issued through a rights issue to SHIPL's existing shareholders. Following this allotment, the paid-up share capital of SHIPL has risen to Rs. 2,00,61,500. As a result, Speciality Restaurants' stake in SHIPL has been diluted from 98.28% to 68.04%. SHIPL continues to be classified as a subsidiary of the company since the parent still holds a majority stake.
This is a capital raise at the subsidiary level through existing shareholders, so no fresh funds flow into the listed parent company. The parent's effective economic interest in SHIPL drops by roughly 30 percentage points, but consolidation treatment remains unchanged. Investors should watch whether SHIPL's new shareholder brings strategic value or if further dilution is planned.
