Spectrum Electrical Industries Limited's Board of Directors, in a meeting held on May 26, 2026, approved the conversion of a portion of an outstanding inter-company loan (extended to its wholly owned subsidiary, Spectrum Electrical Technologies Private Limited) into equity shares of that subsidiary. The loan amount being converted is up to Rs. 2.5 crore, resulting in the issuance of approximately 15,000 equity shares. No fresh capital is being infused by the company — this is purely a non-cash restructuring. The WOS is engaged in manufacturing electrical press components, injection moulding plastic components, and electroplating services, with FY 2025-26 turnover of Rs. 2,311.66 lakh. The transaction is exempt from related party transaction provisions as it is between a holding company and its wholly owned subsidiary and is on an arm's length basis. No regulatory approvals are required, and the conversion is expected to complete within three months.
The conversion strengthens the equity base of the WOS without impacting the parent company's cash position or requiring shareholder capital infusion. It reduces outstanding loan exposure and may improve the subsidiary's financial leverage. No direct impact expected on Spectrum Electrical Industries' standalone financials or share price in the near term.
