SpiceJet filed three Monitoring Agency Reports from CARE Ratings covering (1) the Rs. 494.09 crore preferential issue to Spice Healthcare, where Rs. 120.93 crore was utilised in Q2 FY26 and Rs. 22.8 crore remains unspent (parked in Yes Bank FDs); (2) the Rs. 2,241.50 crore preferential issue, reduced to Rs. 1,060 crore due to undersubscription, where no new funds came in this quarter and Rs. 381.81 crore remains unutilised; and (3) the Rs. 3,000 crore QIP, where Rs. 66.69 crore of unutilised money in fixed deposits has been pledged and is not freely available. In the second issue, Silver Stallion's warrants worth Rs. 33.31 crore expired unconverted on July 25, 2025, while Elara India Opportunities Fund's warrant conversion is stuck because its FPI licence was revoked and a SAT appeal is pending, raising doubts on whether remaining funds will arrive. SpiceJet reported negative operating profits in FY25 and Q1 FY26, and the original March 31, 2025 deadline for fund use has passed without a revised timeline approved by the Board.
These reports flag several negatives for shareholders: delays in deploying raised funds, reallocation away from statutory dues toward fleet expenses, an expired warrant, and uncertainty over Elara's pending conversion due to ongoing legal proceedings.
