Annual Secretarial Compliance Report for FY 2024-25

Sprayking Ltd submitted its Annual Secretarial Compliance Report for FY 2024-25, as required under SEBI LODR Regulation 24(A). The Practicing Company Secretary (M. Rupareliya & Associates) reviewed the company's compliance with SEBI regulations and found it generally compliant, except for two deviations during FY 2024-25. First, the company failed to disclose related party transactions on a consolidated basis within the prescribed timeline under Regulation 23(9), attracting a fine of Rs. 5,900 (Rs. 5,000 + 18% GST), which was paid. Second, the company did not implement a bonus issue within two months of board approval as required under Regulation 295(1) of SEBI ICDR Regulations, attracting a fine of Rs. 3,77,600 (Rs. 3,20,000 + 18% GST), which was also paid. Both penalties were settled within the specified time. Prior-year non-compliances regarding Independent Director appointment and late financial result submissions were also resolved with paid penalties of Rs. 8,49,600 and Rs. 47,200 respectively. The company has one subsidiary, Narmadesh Brass Industries Limited.
