Springform Technology Limited has called its 45th AGM on Wednesday, 20th August 2025 at 11:30 AM via video conferencing, with remote e-voting from 17th to 19th August 2025 (cut-off date 13th August). Alongside the usual adoption of FY25 accounts and re-appointment of director Amarjeet Kaur, shareholders will vote on a heavy slate of special business items. These include: appointment of M/s Ajay K. Kapoor & Co as new statutory auditor for 5 years (replacing the resigned M/s Vandana V. Dodhia & Co), appointment of Mr. Paramjeet Singh Chhabra as Managing Director for 5 years, and appointment of Rajiv Malik and Sanjay Kumar Garg as Independent Directors for 5-year terms. The AGM also seeks approval to alter the company's main objects clause, shift the registered office from Mumbai (Maharashtra) to Delhi (NCT), and raise the authorised share capital from ₹5 lakh to ₹10.10 crore (a 200x increase). Most significantly, a preferential allotment of up to 1,00,50,000 equity shares at ₹10 each (₹10.05 crore in total) is proposed to promoters and around 27 non-promoter allottees. Other resolutions seek enhanced borrowing powers of up to ₹100 crore, expanded powers under Section 186 to lend/invest up to ₹100 crore, approval of material related party transactions with wholly-owned subsidiary Inertia Aluminium Pvt Ltd, and appointment of Ms. Ritika Wasson as secretarial auditor for 5 years.
This is a major capital and governance restructuring with significant dilution potential — the preferential issue alone could expand the equity base by roughly 200 times given the tiny current authorised capital, likely resulting in substantial ownership changes. Shareholders should closely review the preferential allotment list (promoters Amarjeet Kaur, Paramjeet Singh Chhabra, and Amandeep Singh together take 75.11 lakh shares), the drastic jump in authorised capital, the shift of registered office out of Maharashtra, and the steep ₹100 crore borrowing and lending limits being sought. Voting through remote e-voting is available; eligible shareholders as of 13th August 2025 can participate.
