Srestha Finvest Ltd's board approved the allotment of 11,75,00,000 equity shares (face value Re.1 each with Rs.0.05 premium) at Rs.1.05 per share upon conversion of warrants held by 3 non-promoter allottees. These warrants were originally part of a larger lot of 85.3 crore warrants issued on February 18, 2025, at Rs.105 per warrant. The converting allottees are Sneha Bhandari (6.25 crore shares), Sunil Bhandari (2.5 crore shares), and Oswal Industries Limited (3 crore shares). The balance consideration of Rs.9.25 crore was deposited before conversion. Post-allotment, these new shares represent 6.69% of total equity. The remaining 73.55 crore warrants from the original issuance remain pending for future conversion.
The conversion of warrants into equity shares will dilute existing shareholders by 6.69%. However, the large number of warrants still pending (73.55 crore) presents significant future dilution risk if converted.
