SRU Steels held its 30th AGM on 25th September 2025 via video conferencing, lasting only 17 minutes (12:00 PM to 12:17 PM). Out of 20,854 shareholders on record, only 48 public shareholders attended and no promoters were present. Five resolutions were put to vote, including adoption of the FY25 audited financials, re-appointment of director Mr. Manish Manojbhai Rathod (retiring by rotation), appointment of statutory and secretarial auditors, and a special resolution to raise the FPI/FII combined shareholding limit to up to 49% of paid-up equity capital. Both the statutory auditors' report and the secretarial audit report had no qualifications. Voting was conducted through the CDSL e-voting system, supervised by scrutinizer M/s Vishakha Agrawal & Associates, with results to be declared by 29th September 2025.
The proposal to raise the FPI/FII shareholding cap to 49% is the most market-relevant item, as it opens the door for significantly higher foreign institutional ownership. Minimal promoter participation and a short AGM duration may also signal limited retail engagement, though the clean audit reports are a positive governance signal.
