Standard Shoe Sole and Mould (India) Ltd held its 49th Annual General Meeting on December 30, 2025 via video conferencing. Four resolutions were put to vote and all passed with the requisite majority. The resolutions included: (1) adoption of audited financial statements for FY ended March 31, 2025, (2) re-appointment of Ms. Sangita Parida as director retiring by rotation, (3) appointment of Mr. Madhur Gandhi as Secretarial Auditor for five consecutive years, and (4) granting the Board authority for borrowings up to Rs. 2 Crores under Section 180(1)(c) of the Companies Act, 2013. Voting was conducted through CDSL's e-voting platform between December 27–29, 2025 (remote e-voting) and at the AGM. Out of 13,37,685 total votes, 13,37,681 were in favour and only 4 votes were against across all resolutions, indicating near-unanimous shareholder approval.
All AGM resolutions were approved with overwhelming shareholder support, including the Board's borrowing authority of up to Rs. 2 Crores, giving the company flexibility to raise funds as needed. The routine approvals are administrative in nature with no material governance changes expected to impact the stock price.
