Standard Surfactants Limited conducted a Postal Ballot via remote e-voting that ran from February 15 to March 16, 2026. Shareholders were asked to vote on one Special Resolution: approving the issuance of convertible warrants on a preferential basis to persons belonging to the Promoter and Promoter Group category. Out of 14,732 shareholders on record, 11 members cast 3,445 valid votes. The resolution was passed overwhelmingly, with 3,425 votes (99.42%) in favour and just 20 votes (0.58%) against. No invalid votes were recorded. The Scrutinizer, Shivansh Tiwari & Associates, confirmed the resolution was passed with the requisite majority on March 17, 2026.
The Promoter group will be issued convertible warrants on a preferential basis, which could lead to dilution of existing public shareholders if and when these warrants are converted into equity shares. While the approval was almost unanimous among those who voted, retail investors should note that the participation rate was very low (only 3,445 shares voted out of a much larger shareholder base), making it effectively a promoter-driven outcome.
