Stanley Lifestyles has invested about Rs. 50 crores in its wholly-owned subsidiary Stanley Retail Limited (SRL) through a rights issue, subscribing to roughly 9.87 lakh equity shares at Rs. 506.33 per share. SRL in turn invested in two of its own wholly-owned step-down subsidiaries — Sana Lifestyles Limited (Rs. 2.49 crores) and Staras Seating Private Limited (Rs. 5.68 crores) — also through rights issues. All three target entities remain 100% owned within the SLL group, and the stated purpose is to meet financial needs and expand the subsidiaries' businesses. SRL's FY25 turnover was Rs. 202.51 crores, while Sana and Staras posted Rs. 11.80 crores and Rs. 38.71 crores respectively. The transactions are entirely cash-based and require no separate regulatory approvals.
This is a routine internal capital infusion within the company's wholly-owned subsidiary chain, so consolidated ownership and shareholder dilution are unaffected. It signals deployment of IPO-era capital into subsidiary growth, but the near-term impact on the parent's earnings is limited since the transactions are inter-company in nature.
