Star Cement's wholly owned subsidiary, Ri Pnar Cement Private Limited (RPCPL), has signed a Share Purchase Agreement to acquire 100% equity stake in Nitesh Minerals Private Limited (NMPL) for Rs. 17.19 crore in cash. NMPL, a mining company based in Jodhpur, Rajasthan, holds mining leases for limestone. Upon completion, NMPL will become a step-down subsidiary of Star Cement. The acquisition aims to ensure uninterrupted limestone supply for Star Cement's cement operations and leverage logistic benefits, representing vertical integration. NMPL had turnover of Rs. 157.22 lakh in FY2025 and Rs. 287.07 lakh in FY2024. The transaction is not a related party deal.
This acquisition strengthens Star Cement's raw material security by bringing limestone sourcing in-house, which could reduce production costs and supply chain risks over time. The deal is relatively small (Rs. 17.19 crore) relative to Star Cement's scale, so immediate financial impact may be limited but supports long-term operational efficiency.
