Star Housing Finance has informed the stock exchange about two proposed additions to its Board as Additional Non-Executive Directors: Mr. Anil Sachidanand and Mr. Ashish Jain. Both appointments are subject to prior RBI approval, which is mandatory for housing finance companies under the NBFC (HFC) Master Directions, 2021. Mr. Sachidanand, an MBA and ICWAI member with 30+ years in banking and lending, is the Managing Director of Arkfin Investments and Advisors Pvt Ltd, which is described as the largest shareholder of the company. Mr. Ashish Jain, an engineer and Nottingham UK postgraduate, is a familiar face — he served as Chairman and Managing Director of Star Housing Finance from May 2018 to June 2024. Both appointees are stated to have no inter-personal relationships with existing board members.
The biggest takeaway for shareholders is that the company's largest shareholder (Arkfin Investments) is set to get direct board representation through its MD, which strengthens the principal shareholder's voice in decision-making. The return of the former CMD in a non-executive capacity may bring continuity and institutional memory. Final confirmation is awaited from RBI before these appointments become effective.
