STL Networks Ltd has announced the passing of two special resolutions via postal ballot, with voting completed on May 19, 2026. Resolution 1, to alter the Articles of Association, was approved overwhelmingly with 99.98% in favour (237,417,549 votes) versus only 36,562 votes against. Resolution 2, to issue warrants convertible into equity shares to Twin Star Overseas Limited (a promoter entity) on a preferential basis, was also passed with 95.70% in favour (227,237,021 votes), though it faced more resistance with 61 members voting against it (10,215,050 votes, ~4.3%). The e-voting was conducted through KFin Technologies Limited with 569 and 555 members participating respectively.
The alteration of AoA indicates possible governance or structural changes. The preferential warrant issuance to the promoter (Twin Star Overseas Limited) is significantly dilutive — the promoter already holds a large stake — which could concern minority shareholders due to potential dilution and related-party nature of the transaction.
