STL Networks Limited has announced the results of its postal ballot conducted via remote e-voting from April 20 to May 19, 2026. Two special resolutions were put to shareholders and both were passed with overwhelming majorities. The first resolution approved the alteration of the company's Articles of Association, with 99.98% votes in favour (237.4 million votes out of 237.5 million valid votes). The second resolution approved the issuance of warrants convertible into equity shares to Twin Star Overseas Limited, a promoter entity, on a preferential basis. This passed with 95.70% approval (227.2 million in favour vs 10.2 million against). CS Debasis Dixit of D Dixit & Associates served as the scrutinizer, and no votes were declared invalid.
The preferential warrant issuance to the promoter entity (Twin Star Overseas Limited) may lead to dilution of existing shareholders' stakes. The alteration of Articles of Association signals potential structural or governance changes ahead.
