Submission of Compliance under Reg 24A for 31st March, 2025.
Awaiting price reaction for this filing.
Ramasigns Industries filed its Annual Secretarial Compliance Report for FY ending March 31, 2025, prepared by Practicing Company Secretary Pooja Gandhi. The report flags multiple SEBI LODR non-compliances: delayed Reg 57(1) filings, late submission of quarterly shareholding patterns (Reg 31) and share capital audit reconciliation reports (Reg 76), unfiled half-yearly ISIN statements for debt securities, and non-submission of audit qualification disclosures in XBRL format. Cumulative unpaid BSE penalties run into several lakhs across both current and previous fiscal years, largely stemming from the prior Company Secretary's resignation and lapses in tracking stock exchange compliance. Two Independent Directors appointed on 22 March 2024 were not approved by shareholders within the required 3 months and were only ratified at the AGM on 30 September 2024. The company website was also not updated as per Reg 46.
This is a serious governance red flag. BSE has issued a notice on 30 May 2025 threatening to freeze promoter shares due to repeated shareholding pattern non-compliances, and large unpaid penalties remain outstanding. Investors should expect continued regulatory scrutiny, potential trading restrictions on promoter holdings, and possible further escalation if non-compliances persist.
