Gold Coin Health Foods Ltd has filed a newspaper publication notice with BSE regarding a National Company Law Tribunal (NCLT), Ahmedabad Bench order on capital reduction. The company applied on 15 May 2025 (Company Application No. 27 of 2025) to reduce its share capital from Rs. 3,00,09,000 (30,00,900 equity shares of Rs. 10 each) to Rs. 1,50,04,500. As part of this process, face value will first be split to Rs. 5 per share, then 2 shares will be consolidated into 1 share of Rs. 10 each, resulting in 15,00,450 equity shares post-restructuring. Creditors have been notified and have 3 months to raise objections. The NCLT hearing is scheduled for 21 August 2025. The list of creditors is available at the company's Ahmedabad registered office for inspection.
Shareholders will hold half the number of shares (15,00,450 instead of 30,00,900) at the same Rs. 10 face value, effectively a 1:2 reverse split with no change in total face value held. Capital reduction often signals the company is writing off accumulated losses or returning excess capital, which may dilute book value per share but should not change the overall market value proportionally if executed cleanly.
