Submission of Scrutinizer and Regulation 44 report on the e-voting and Polling at AGM.
Awaiting price reaction for this filing.
Educomp Solutions Limited has submitted the voting results and scrutinizer's report for its 31st Annual General Meeting held on March 10, 2026, conducted via video conferencing. Three ordinary resolutions were put to vote: (1) adoption of audited financial statements for FY 2024-25, (2) appointment of M/s GDR & Associates LLP as Statutory Auditors, and (3) appointment of a Secretarial Auditor for five years. All three resolutions passed with overwhelming majority, with approximately 99.996% of valid votes cast in favour and only around 1,668–1,693 votes against. Out of 12.25 crore total outstanding shares, only about 4.01 crore (32.76%) were polled. The company remains under the management of a Caretaker Resolution Professional, as the resolution plan approved by NCLT in October 2023 is yet to be implemented and is currently under litigation.
For shareholders, this is largely a procedural disclosure — routine AGM business was completed and all resolutions were approved with near-unanimous support. The company continues to be under insolvency proceedings with an approved but unimplemented resolution plan, so the underlying uncertainty around the stock remains unchanged by this filing.
