Heubach Colorants India Limited has announced the results of its postal ballot conducted via e-voting from June 7, 2025 to July 6, 2025, for the appointment of five directors. All five resolutions were passed with the requisite majority, with 59.30% of outstanding shares (1,36,87,305 shares) participating in the voting. Promoters holding 1,25,48,811 shares voted 100% in favour of all resolutions. Three independent directors (Mr. Amitabha Mukhopadhyay, Mr. Naresh Raisinghani, and Mrs. Anu Wakhlu) were appointed as special resolutions, while Mr. Rajesh Rathi and Mr. Mandar Velankar were appointed as non-executive directors as ordinary resolutions. Approval levels were very high, ranging from 95.79% (Naresh Raisinghani) to 99.99% (Amitabha Mukhopadhyay and Anu Wakhlu). One member's vote covering 1,22,192 shares was declared invalid for lacking a proper Board Resolution or Power of Attorney.
The board has been strengthened with three new independent directors and two non-executive directors, improving corporate governance. Strong approval levels, including from institutional investors, suggest shareholder confidence in the new appointments. This is a routine governance event with no material impact on the stock price.
