Sudarshan Pharma Industries Ltd's Board has approved the issuance of Foreign Currency Convertible Bonds (FCCBs) worth up to USD 20 million (approximately Rs. 191.86 Crores). The FCCBs carry an 8% per annum coupon and have a tenure of 3 years and 2 months. Upon conversion, these bonds would convert into approximately 6.35 crore equity shares of Rs. 1 each at a floor price of Rs. 30.19 per share. The issuance opens on May 18, 2026, and allotment will be completed within 60 days of the issue closing date. This follows member approval obtained earlier in 2025 and BSE's principal approval dated September 25, 2025.
The FCCB issuance will dilute existing shareholders upon conversion of bonds into equity shares. The 8% coupon represents a fixed interest obligation, and if bondholders convert, it could result in significant share dilution of approximately 6.35 crore shares.
