Suditi Industries Ltd has allotted 39 lakh fully paid-up equity shares (face value Rs. 10 each) to promoter group members upon conversion of an equal number of warrants. The warrants were converted at an issue price of Rs. 27.50 per share (including Rs. 17.50 premium), and the company received the balance 75% amount of Rs. 20.625 per share, aggregating to about Rs. 8.04 crore in cash. The allottees are Harsh Pawan Agarwal (24 lakh shares) and Tanay Pawan Agarwal (15 lakh shares), both belonging to the promoter category. As a result, the company's paid-up equity capital has increased from Rs. 43.22 crore (4.32 crore shares) to Rs. 47.12 crore (4.71 crore shares). Out of the total 1.23 crore warrants originally allotted in February 2025, 48 lakh warrants are still pending conversion within the 18-month window.
This is a promoter-led capital infusion via warrant conversion, which strengthens promoter holding and adds Rs. 8.04 crore to the company's equity base. While the share count rises (minor dilution for non-promoter shareholders), the conversion reflects promoter confidence. The remaining 48 lakh unconverted warrants could lead to further equity expansion if exercised.
