The Board approved audited financial results (standalone and consolidated) for Q4 and FY ended March 31, 2025, with auditors issuing an unmodified opinion. On a standalone basis, FY25 profit fell to ₹3,070.13 lakhs from ₹3,512.11 lakhs in FY24, and Q4 standalone slipped into a loss of ₹179.84 lakhs; EPS for the year was ₹28.16 vs ₹32.22. On a consolidated basis, FY25 revenue grew to ₹11,902.94 lakhs (vs ₹10,223.92 lakhs), profit was ₹6,859.57 lakhs (vs ₹7,573.02 lakhs), and EPS was ₹62.92 vs ₹69.47, hit by an exceptional loss of ₹1,382.83 lakhs from the sale of step-down subsidiary Sudarshan Electronics & TV Ltd. The Board also appointed M/s. Parikh Parekh & Associates as Secretarial Auditors for five years (FY 2025-26 to FY 2029-30), subject to shareholder approval, and noted that the 28th AGM will be held as per regulatory directives.
Mixed signals for shareholders - core holding/investing business remains strong with a large investment portfolio (consolidated investments of ~₹11,360 crores and other equity of ~₹9,855 crores), but headline FY profits declined year-on-year and the Q4 numbers turned negative largely due to mark-to-market fair value changes. The exceptional loss from divesting Sudarshan Electronics is a one-off; the appointment of a new secretarial auditor is routine governance and unlikely to move the stock.
