Sun TV Network Limited has announced that the scheme of amalgamation between its subsidiary Kal Radio Limited (transferee) and Udaya FM Private Limited (transferor) became effective on 1st May 2025. The scheme was earlier approved by the National Company Law Tribunal (NCLT), Division Bench II, Chennai, under Sections 230 and 232 of the Companies Act, 2013. All conditions precedent mentioned in Clause 14.1 of the scheme have been fulfilled. This is a further update to the company's earlier disclosure dated 1st April 2025 regarding the NCLT approval.
This is an internal restructuring within Sun TV's radio business subsidiaries and is unlikely to have a material impact on Sun TV's consolidated financials or share price. It simply consolidates Udaya FM into Kal Radio Limited, streamlining the group's radio operations.
