Sundrop Brands approves merger of step-down subsidiary DMFN into DMF

Sundrop Brands' material wholly-owned subsidiary Del Monte Foods (DMF) and its wholly-owned subsidiary DMFN have approved a Scheme of Amalgamation to merge DMFN into DMF under the Fast Track route (Section 233 of Companies Act, 2013). DMF turnover is INR 670.27 Cr and DMFN turnover is INR 83.29 Cr for FY26 (provisional). As both are 100 percent wholly-owned, no new shares will be issued and DMF's investment in DMFN will be cancelled. Rationale: cost synergies, operational simplicity, and eliminating a subsidiary layer. Subject to regulatory approvals.
