The Board of Directors of Superior Industrial Enterprises Ltd (formerly Superior Vanaspati Limited) held a meeting on 4th September 2025 and approved several items related to the 34th Annual General Meeting. These included fixing the record date, book closure and e-voting dates, appointing M/s. RSH & Associates as the e-voting scrutiniser, and approving the AGM notice. The Board also approved the re-appointment of Mr. Arun Nevatia (Chartered Accountant, 37 years of experience) as an Independent Director and the regularisation of Mr. Gaurav Kumar Gupta (FCMA, MBA Finance, LLB) as an Independent Director who was appointed on 13 August 2025. Additionally, the Board sought member approval for raising the cap on loans, guarantees and investments under Section 186 up to ₹10 crore, related party transactions with Babri Polypet Private Limited up to ₹20 crore over five years under Section 188, and authorisation under Section 185 up to ₹10 crore. Both independent directors will serve without remuneration and hold no shares in the company.
This is largely a routine pre-AGM outcome covering administrative and housekeeping approvals. Shareholders should note the proposed related party transaction limit of ₹20 crore with Babri Polypet Private Limited and the borrowing/lending limits being raised, which will require their approval via special resolution at the upcoming AGM. No material impact on share price is expected from these disclosures.
