The board of Surya India Limited met on 13 August 2025 and approved the unaudited financial results for Q1 FY26 (quarter ended 30 June 2025). Total income stood at Rs. 132.62 lakh versus Rs. 112.35 lakh in Q1 FY25, and profit after tax rose to Rs. 36.30 lakh from Rs. 23.47 lakh, with EPS of Rs. 0.52 versus Rs. 0.34. Statutory auditor M/s P. R. Kumar & Co. issued an unqualified limited review report. The board approved the re-appointment of Mrs. Preeti Agarwal as Managing Director and Mrs. Priyanka Agarwal as Wholetime Director for 3 years each from 30 September 2025, subject to shareholder approval. It also approved material related party transactions with Haldiram Products, Haldiram Manufacturing, Haldiram Ethnic Foods and Haldiram Marketing, along with loans under Section 185 to Haldiram Snacks and Haldiram Marketing. Mr. Gulshan Kumar Uttreja resigned as Internal Auditor and Mr. Sunil Jain was appointed in his place for five years (FY26 to FY30). The 40th AGM was fixed for 13 September 2025.
Q1 FY26 shows a modest YoY profit improvement, but the headline numbers remain small and volatile. The significant items to watch are the cluster of related party transactions with Haldiram group entities and Section 185 loans, which need shareholder approval at the AGM on 13 September and could attract governance scrutiny.
