Surya India Limited held its 40th Annual General Meeting on 13 September 2025 at its registered office in New Delhi, and submitted the voting results and scrutinizer's report to BSE on 15 September 2025. All 11 resolutions were passed unanimously with 100% votes in favour. Key resolutions included adoption of audited financial statements for FY ending 31 March 2025, re-appointment of Mrs. Preeti Agarwal as Managing Director, re-appointment of Mrs. Priyanka Agarwal as Wholetime Director, approval of material related party transactions with four Haldiram group companies (Products, Manufacturing, Ethnic Foods, and Marketing), and approval of loans to Haldiram Snacks and Haldiram Marketing under Section 185 of the Companies Act, 2013. Total votes polled were 47,33,169 (about 67.75% of the 69,85,832 outstanding shares), but promoter group abstained from voting on resolutions 2–10 where they were related parties, leaving only 21,196 public votes (0.30%) counted on those items. Only 12 promoter and 11 public shareholders attended the meeting in person.
No material surprises for shareholders — all items were routine AGM business and cleared without dissent, so no near-term stock price impact is expected. However, minority investors should note that several large related-party transactions and inter-corporate loans with Haldiram group entities were approved, with very low public participation (only 11 public shareholders voting) effectively giving promoters near-total control over outcomes on those items.
