Sutlej Textiles' Board has approved the appointment of M/s. CSM & Co., a peer-reviewed firm of Company Secretaries, as Secretarial Auditors for five consecutive years from FY 2025-26 to FY 2029-30, subject to shareholder approval at the upcoming AGM. The same Board meeting (held May 9, 2025) also approved audited standalone and consolidated financial results for Q4 and FY25, which carried an unmodified opinion from statutory auditor B S R & Co. LLP. On a standalone basis, FY25 revenue stood at Rs. 2,642.36 crores (vs Rs. 2,671.72 crores in FY24), with a net loss of Rs. 84.20 crores, narrower than the Rs. 134.61 crore loss a year ago. The improvement was partly aided by lower exceptional items, though a Rs. 22.70 crore impairment on the wholly-owned subsidiary (American Silk Mills) was booked in FY25.
Routine governance move — a new long-term secretarial auditor in place, but no change to statutory auditor B S R & Co. LLP. Financials remain in the red, though losses have shrunk meaningfully versus FY24, which is a modest positive signal for shareholders.
