Suvidhaa Infoserve Limited has disclosed the results of its Postal Ballot conducted through remote e-voting. Three resolutions were passed with overwhelming shareholder approval: (1) Re-appointment of Shail Shah as Independent Director for a second term of 5 years, (2) Re-appointment of Ritesh Chothani Shah as Independent Director for a second term of 5 years, and (3) Increase in Authorised Share Capital and consequent alteration to the Capital Clause of the Memorandum of Association. All resolutions received over 99.99% votes in favour. Total votes polled were 85.89 million out of 209.81 million shares (40.94% turnout). The Promoter and Promoter Group held 80.42 million shares and voted 100% in favour across all resolutions.
The re-appointment of both Independent Directors ensures continuity in board governance. The increase in authorised share capital signals the company may raise funds or issue new shares in the future, which could dilute existing shareholder value.
