The NCLT Ahmedabad Bench has approved the scheme of amalgamation merging Suzlon Global Services Limited (SGSL), a wholly owned subsidiary, into Suzlon Energy Limited, effective from 15th August 2024 as the Appointed Date. Separately, the Board has approved transferring the Project Divisions of the southern and western regions to two step-down wholly owned subsidiaries — Suzlon Southern Projects Limited and Suzlon Western India Projects Limited — on a slump sale (going concern) basis. For FY24, the western division contributed Rs. 309 crore (4.76%) and the southern division Rs. 192 crore (2.96%) to consolidated revenue of Rs. 6,496.84 crore, and each held Rs. 36 crore (0.92%) of the Rs. 3,920.31 crore consolidated net worth. The slump sales are related party transactions (not at arm's length) at fair market value, with closing expected by end of May 2025.
This is an internal group restructuring with no change in Suzlon's shareholding pattern, so it should be largely neutral for shareholders. Simplifying the corporate structure and consolidating project execution into dedicated subsidiaries could improve operational efficiency and regulatory compliance over time.
