Swan Corp Limited conducted a Postal Ballot via remote e-voting concluded on 19 May 2026. Two special resolutions were passed: (1) Appointment of Ms. Bhagwati Sharma as Non-Executive Independent Director approved with 99.99% votes in favour (233.8 million votes) and only 12,575 votes against; (2) Appointment of Mr. Ashish Chhabria as Non-Executive Independent Director approved with 96.77% votes in favour (226.3 million votes) and 7.55 million votes against (3.23%). Both resolutions achieved the requisite majority as certified by Scrutinizer Jignesh M. Pandya. The voting participation was 74.6% of total outstanding shares.
The appointment of two new independent directors strengthens the board composition. Shareholders should note the relatively higher dissent (3.23%) for Mr. Chhabria's appointment compared to near-unanimous support for Ms. Sharma, though both passed comfortably.
