Promoter Hazel Infra Limited sold 26,38,747 equity shares (5.01% of paid-up capital) of Swan Defence and Heavy Industries through an Offer for Sale conducted on BSE and NSE on March 18-19, 2026, with settlement on March 20, 2026. Of these, 23,74,872 shares were sold to non-retail investors on T-day, and 2,63,875 shares to non-retail and retail investors on T+1 day. Post-sale, Hazel's holding in the company reduced from 94.91% (5,00,00,000 shares) to 89.90% (4,73,61,253 shares). The company (formerly Reliance Naval and Engineering Ltd) has a total equity share capital of 5,26,82,150 shares of Rs. 10 face value. The OFS was carried out under SEBI's Comprehensive Framework on OFS through stock exchange mechanism.
Despite the 5.01% reduction, the promoter continues to hold a dominant 89.90% stake, so control remains firmly with the promoter. The OFS widens public float and could improve liquidity and free-float availability for index/Institutional investors, but the large concentrated sale may create short-term supply pressure on the stock.
