Swastika Investmart Ltd has acquired 2,500 equity shares (25%) in Nyati Holdings Private Limited for a total cash consideration of Rs. 25,000. Nyati Holdings is a private investment holding company based in Indore, MP, with a paid-up capital of Rs. 1,00,000 and no business activity in the last two financial years (zero turnover in FY24-25 and FY23-24; Rs. 18 lakh in FY22-23). Following the deal, NHPL will become an Associate company of Swastika Investmart. The transaction is a related-party deal (the sellers/promoters of NHPL are connected to Swastika's promoter group) but has been carried out at arm's length and is expected to close within 60 days. Management describes the move as a strategic and financial investment for portfolio diversification.
The deal is extremely small in monetary terms (Rs. 25,000) and the target is a dormant investment-holding entity, so the direct financial impact on Swastika Investmart's earnings or share price is negligible. Shareholders may view it as a minor strategic diversification move rather than a value-accretive acquisition.
