OUTCOME OF AGM ALONG WITH SCRUTINIZER REPORT

Swati Projects Limited held its 42nd Annual General Meeting on 24 September 2025 via video conferencing. As on the cut-off date (17 September 2025), the company had 17,684 shareholders and 1,01,00,000 total shares outstanding. Two ordinary resolutions were put to vote through remote e-voting: (1) adoption of audited standalone and consolidated financial statements for FY ended 31 March 2025, and (2) appointment of Mrs. Shruti Agarwal, Practicing Company Secretary, as Secretarial Auditor for 5 years. Both resolutions were passed with overwhelming majority. Total votes polled were 44,33,042 shares (about 43.9% of outstanding), with promoters voting 100% in favour (24,05,720 shares) and public non-institutional shareholders voting over 99.98% in favour on both resolutions. Scrutinizer Shweta Gupta confirmed the resolutions were passed with requisite majority.
