Swojas Foods Ltd has completed the conversion of 13,31,500 convertible warrants into an equal number of equity shares. The conversion was exercised by Jhaveri Trading and Investment Pvt Ltd (a Non-Promoter), which had originally received these warrants in a preferential allotment approved by shareholders in December 2025. Each warrant was converted at ₹16.50 per share (face value ₹10 + premium ₹6.50), with the balance exercise price of ₹12.375 per share (75% of issue price) received, totaling ₹1,64,77,312.50. As a result, the company's paid-up equity share capital has increased from approximately ₹39.98 crore to ₹41.32 crore.
This warrant conversion increases the company's equity base by about 3.33%, resulting in modest dilution for existing shareholders. The shares will rank pari-passu with existing shares once trading approval is obtained from BSE.
