Swojas Foods has converted 20 lakh convertible warrants into 20 lakh fully paid-up equity shares of face value ₹10 each, at an issue price of ₹16.50 per share. The conversion was exercised by non-promoter holder Jhaveri Trading and Investment Pvt Ltd, who paid the remaining 75% balance of ₹12.375 per warrant, aggregating ₹2.47 crore. This increases the company's paid-up equity capital from ₹33.06 crore to ₹35.06 crore (3.30 crore shares to 3.50 crore shares). The allotted shares will rank pari-passu with existing equity shares, and the application for listing approval will be filed with the stock exchange.
This is a routine partial conversion of previously allotted warrants, leading to a modest ~6% dilution in equity share count. No fresh capital is being raised beyond what was already committed at the time of warrant issuance in December 2025, so the direct impact on share price is limited.
