Swojas Foods Ltd has allotted 20,00,000 equity shares (face value ₹10 each) to Jhaveri Trading and Investment Pvt Ltd (a non-promoter) upon conversion of 20,00,000 convertible warrants. The remaining 75% exercise price of ₹12.375 per warrant was paid, aggregating to ₹2,47,50,000. The warrants were originally issued at ₹16.50 each (including ₹6.50 premium) as part of a preferential allotment of 2,59,84,500 warrants made earlier in December 2025. Following this conversion, the company's paid-up equity share capital has increased from ₹33,06,26,500 (3,30,62,650 shares) to ₹35,06,26,500 (3,50,62,650 shares). The new shares will rank pari-passu with existing equity shares, and listing/trading approval from BSE will be sought in due course.
Minor dilution for existing shareholders as ~6% new shares are added to the share count.
