Swojas Foods Ltd has allotted 13,31,500 equity shares following the exercise of conversion options by warrant holders. The conversion was done by Jhaveri Trading And Investment Pvt Ltd (Non-Promoter), who paid the balance exercise price of Rs. 12.375 per warrant (75% of the Rs. 16.50 issue price), totaling Rs. 1.65 crore. The shares have a face value of Rs. 10 each. As a result, the company's paid-up equity share capital increased from Rs. 39.98 crore to Rs. 41.32 crore, with total outstanding shares rising to 4,13,15,150. The new shares will rank pari-passu with existing equity shares. The original warrants had been allotted in December 2025 via preferential allotment to raise funds.
This conversion is dilutive to existing shareholders as it increases the total share count by 3.33%. The exercise price of Rs. 16.50 per share indicates the warrants were issued at a premium to face value, and the company received the remaining 75% of the warrant subscription amount upon conversion.
